These Terms of Service ("Terms") govern your access to and use of the NexusChemSoft website, software, applications, platforms, tools, documentation, research workflows, and related services (collectively, the "Services").

The Services are provided by NexusChemSoft ("NexusChemSoft," "we," "us," or "our").

By accessing or using the Services, creating an account, submitting information through the website, or purchasing or subscribing to any Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

If you use the Services on behalf of a company, university, laboratory, research institution, or other organization, you represent that you have authority to accept these Terms on that organization's behalf. In that case, the terms "you" and "your" include both you and the organization you represent.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

You may use the Services only for lawful business, academic, institutional, professional, or research purposes. You may not use the Services if your use is prohibited by applicable law.

2. Description of the Services

NexusChemSoft provides software and technology designed to help research and industrial teams model, organize, analyze, document, and manage chemistry-related information and workflows.

The Services may include computational chemistry tools, project workspaces, data organization features, research documentation, collaboration tools, reports, integrations, technical support, implementation services, and other related features.

NexusChemSoft may add, modify, improve, suspend, or discontinue features of the Services from time to time. We may make changes where reasonably necessary for security, legal compliance, technical improvements, operational reasons, or product development.

3. Accounts

Certain features may require you to create an account. You agree to provide accurate, complete, and current information when creating or maintaining your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

You must notify NexusChemSoft immediately at support@nexuschemsoft.com if you believe that your account has been accessed without authorization or that your credentials have been compromised.

You may not share your account credentials with unauthorized individuals or allow anyone to access the Services through your account in violation of your subscription or order terms.

4. Acceptable Use

You agree not to use the Services to:

• violate any applicable law, regulation, order, or third-party right;
• access, use, or attempt to access another person's account or data without authorization;
• interfere with, disrupt, damage, overload, or compromise the Services or their security;
• bypass authentication, usage limits, access restrictions, or security controls;
• upload malware, viruses, malicious code, or other harmful material;
• upload content that is unlawful, fraudulent, abusive, defamatory, infringing, or otherwise objectionable;
• reverse engineer, decompile, disassemble, copy, or attempt to discover the source code or underlying structure of the Services, except where such restriction is prohibited by law;
• reproduce, resell, lease, sublicense, distribute, or commercially exploit the Services without written permission;
• use the Services to develop or provide a competing product or service;
• use automated systems to scrape, crawl, monitor, or extract data from the Services without written authorization;
• use an automated output as the sole basis for a safety-critical, medical, environmental, manufacturing, regulatory, or other high-consequence decision; or
• use the Services in a manner that could cause injury, property damage, environmental harm, or unsafe laboratory or industrial activity.

5. Customer Content

You may submit data, files, text, formulas, models, measurements, documents, instructions, and other materials to the Services ("Customer Content").

You retain ownership of your Customer Content. You are responsible for ensuring that you have all rights, permissions, licenses, and legal authority required to submit and process that content through the Services.

You grant NexusChemSoft a limited, worldwide, non-exclusive license to host, store, copy, process, transmit, display, and otherwise use Customer Content only as reasonably necessary to provide, maintain, secure, support, troubleshoot, and improve the Services, comply with applicable law, and prevent misuse.

NexusChemSoft does not claim ownership of your Customer Content. You are responsible for maintaining appropriate backup copies of your Customer Content.

6. Sensitive and Regulated Information

Unless NexusChemSoft has expressly agreed otherwise in writing, you must not upload or submit personal health information, patient records, human-subject research data, classified information, government-restricted information, export-controlled information, confidential information subject to special regulatory controls, or other regulated data to the Services.

You are responsible for determining whether your use of the Services complies with applicable privacy, research, laboratory safety, export-control, intellectual-property, regulatory, and industry requirements.

7. Scientific Information and Outputs

The Services may generate calculations, predictions, suggestions, summaries, visualizations, models, reports, or other outputs ("Outputs").

Outputs are provided for informational, analytical, and research-support purposes only. Outputs may contain errors, omissions, assumptions, or inaccuracies and should not be treated as guaranteed scientific conclusions.

You are solely responsible for reviewing and validating all Outputs, evaluating their assumptions, conducting appropriate experiments, obtaining qualified professional advice, and deciding whether or how to rely on them.

NexusChemSoft does not guarantee that any Output is accurate, complete, reproducible, suitable for a particular purpose, or appropriate for a specific experiment, process, product, regulatory submission, or commercial decision.

8. Fees and Payment

If you purchase a paid Service, the applicable fees, usage limits, subscription period, user limits, support, and other commercial terms will be shown during the ordering process or stated in an applicable proposal, order form, subscription plan, or other written agreement.

Unless stated otherwise, fees are payable in advance and are non-refundable except where required by applicable law or expressly stated in an applicable refund policy or written agreement.

Fees do not include taxes, duties, bank charges, or other government charges that may apply to your purchase. You are responsible for those charges unless applicable law requires otherwise.

If payment is overdue, NexusChemSoft may restrict or suspend access to paid features after providing reasonable notice.

9. Subscriptions and Cancellation

If you subscribe to a paid Service, your subscription will continue for the period stated during the purchase process or in the applicable order agreement.

Unless stated otherwise, subscriptions do not automatically renew unless you have agreed to automatic renewal during the purchase process or in a separate written agreement.

You may request cancellation by contacting support@nexuschemsoft.com. Cancellation may take effect at the end of the current paid subscription period unless otherwise stated in your order agreement.

Ending a subscription does not remove your obligation to pay fees that became due before cancellation.

10. Intellectual Property

The Services, including their software, interfaces, designs, features, algorithms, documentation, trademarks, logos, graphics, and underlying technology, are owned by or licensed to NexusChemSoft and are protected by applicable intellectual-property laws.

Subject to these Terms and payment of applicable fees, NexusChemSoft grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription or authorization period.

You may not use the NexusChemSoft name, trademarks, logos, or other branding without our prior written permission.

NexusChemSoft retains all rights not expressly granted under these Terms.

11. Feedback

If you provide suggestions, recommendations, ideas, comments, or other feedback about the Services, you grant NexusChemSoft the unrestricted right to use, reproduce, modify, publish, and otherwise use that feedback without compensation or attribution.

NexusChemSoft will not use your confidential information as public feedback without your permission.

12. Confidentiality

Each party may receive non-public information from the other party that is marked confidential or that reasonably should be understood to be confidential ("Confidential Information").

The receiving party agrees to use Confidential Information only as necessary to provide or receive the Services, protect it using reasonable care, and disclose it only to personnel, contractors, professional advisers, or service providers who need to know it and are subject to confidentiality obligations.

Confidential Information does not include information that is publicly available without breach, already lawfully known, received lawfully from another source without a confidentiality obligation, or independently developed without using the other party's Confidential Information.

13. Third-Party Services

The Services may connect to or rely on third-party services, software, hosting providers, data sources, payment processors, integrations, or applications.

Your use of third-party services may be subject to separate terms and privacy policies. NexusChemSoft is not responsible for the availability, accuracy, security, performance, or content of third-party services that NexusChemSoft does not control.

14. Privacy

Our collection, use, storage, and protection of personal information are described in our Privacy Policy.

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

15. Service Availability

We will use reasonable efforts to keep the Services available. However, the Services may occasionally be unavailable because of maintenance, updates, technical problems, security incidents, internet failures, third-party services, or circumstances beyond our reasonable control.

NexusChemSoft does not guarantee continuous, uninterrupted, timely, secure, or error-free access to the Services.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, CONTENT, OUTPUTS, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

NEXUSCHEMSOFT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND RESULTS.

NEXUSCHEMSOFT DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, PRODUCE A PARTICULAR SCIENTIFIC OR COMMERCIAL RESULT, BE FREE FROM ERRORS, OR OPERATE WITHOUT INTERRUPTION.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXUSCHEMSOFT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, EXPECTED SAVINGS, OR BUSINESS INTERRUPTION, WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF NEXUSCHEMSOFT FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO NEXUSCHEMSOFT FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.

These limitations do not apply to liability that cannot legally be limited or excluded.

18. Indemnification

You agree to defend, indemnify, and hold harmless NexusChemSoft, its officers, directors, employees, contractors, agents, licensors, and service providers from and against claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to:

• your Customer Content;
• your use or misuse of the Services;
• your violation of these Terms;
• your violation of applicable law; or
• your violation of any third-party right, including intellectual property, privacy, or contractual rights.

19. Suspension and Termination

NexusChemSoft may suspend or terminate your access to the Services if you materially breach these Terms, fail to pay applicable fees, misuse the Services, create a security or legal risk, infringe another person's rights, or if continued access would violate applicable law.

You may stop using the Services at any time. Upon termination, your right to access and use the Services will end.

NexusChemSoft may delete Customer Content after termination, subject to applicable law, technical limitations, and any separate written agreement.

Provisions relating to intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, payments, dispute resolution, and any other provisions that by their nature should survive termination will continue to apply.

20. Changes to These Terms

NexusChemSoft may update these Terms from time to time. When we do, we will post the updated version on this page and update the "Last updated" date.

If a change materially affects your rights or obligations, we will provide reasonable notice where required by applicable law.

Your continued use of the Services after the revised Terms become effective means that you accept the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

21. Governing Law and Disputes

These Terms will be interpreted and enforced in accordance with applicable law.

Any dispute relating to these Terms or the Services will be handled by a court or other legally authorized dispute-resolution body with proper jurisdiction over the dispute and the parties.

Nothing in this section prevents either party from seeking urgent or injunctive relief where such relief is available under applicable law.

22. General Terms

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of NexusChemSoft. NexusChemSoft may assign these Terms as part of a merger, acquisition, reorganization, corporate restructuring, or sale of assets.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

These Terms, together with any applicable order form, subscription agreement, Privacy Policy, Refund Policy, and other written agreement between you and NexusChemSoft, constitute the entire agreement concerning your use of the Services.
